We have the competence and experience in the formulation and execution of local and international contracts and agreements between parties in the United States and Egypt to meet our clients’ needs and their legal positions. This includes contracts for assignments, sales, leases, articles of incorporation for companies, gifting, auto sales, forward sales, as well as corporate merger and acquisition contracts.

According to the Egyptian Law the contract is consider as a domestic contract when all of its elements involve one country (Egypt) and is therefore subject to the domestic laws of Egypt.andThe contract is considered international contract if it includes a foreign element (i.e., the place of execution or implementation of the contract, or the nationality or domicile of the parties), which affects its subordination to domestic law.

Under Egyptian law, a contract is the agreement of the wills of two or more parties to produce a legal effect, and a contract must reflect the following principles:

  1. Consent: Consent is the fundamental pillar of every contract under the Egyptian Civil Code. Mutual consent is achieved through mutual acceptance, i.e. the agreement of the wills of the parties. As a rule, each party expresses his own will in person, but a party may appoint another person to act on its behalf in a contract. This is known as deputation in contracting.
  2. Subject: The subject of a contract is the matter or thing to which the contract is applicable, and upon which the effect of the contract and its clauses is focused. This varies depending on the contract. It may be specific, as in cases where the subject is a real estate property. It may be the achievement of some benefit, as in cases where the contract is for renting an apartment where the tenant benefits from the subject of the contract for a specified period in exchange for a specific fee. It can also be in the form of work to be performed, such as in cases where an engineer is hired to do some work or when a singer is hired to perform at an event.
  3. Reason: This is the direct purpose sought by the parties to the contract. It must be legitimate and not conflict with the public order.

An international contract involves more than one legal system

Questions arise about which law is applicable to an international contract and issues arise pertaining to conflicting laws due to the multifaceted nature of such contracts.
